Welcome to ListingStageAI. By accessing or using our AI virtual staging platform, you agree to be bound by these Terms of Service. Please read them carefully.

1. Acceptance of Terms

By creating an account, uploading photos, or using any part of the ListingStageAI platform, you agree to:

• These Terms of Service
• Our Privacy Policy
• All applicable laws and regulations

If you do not agree, you may not use the platform.

2. Eligibility

You must be:

• At least 18 years old
• A licensed real estate professional OR property owner/seller
• Authorized to upload and stage the property photos you submit

By using the platform, you represent and warrant that you meet these requirements.

3. Account Registration

• You must provide accurate, current information during registration
• You are responsible for maintaining the security of your account credentials
• You are liable for all activity under your account
• One person per account (no account sharing)
• We reserve the right to suspend or terminate accounts that violate these terms

4. Service Description

What We Provide

ListingStageAI provides AI-powered virtual staging services, including:

• Virtual furniture and decor placement in property photos
• De-staging (furniture removal)
• Multiple design style options
• High-resolution image downloads
• MLS-compliant disclosure watermarks

What We Don't Guarantee

• Perfect results for every photo (quality depends on input image quality)
• Specific sale outcomes or buyer interest
• Uninterrupted service (we may perform maintenance)
• Compatibility with all devices and browsers

5. Photo Upload and Ownership

Your Responsibilities

You represent that you:

• Own the photos you upload OR have explicit permission to use them
• Have the right to create derivative works (staged versions) from those photos
• Will not upload photos containing people, private information, or copyrighted material
• Will use staged images only for legitimate real estate marketing purposes

Ownership and License

• You retain ownership of your original uploaded photos
• You own the staged images generated by our AI
• You grant us a limited license to process your photos for staging purposes
• We may display staged images as examples in marketing (only with your permission)

6. MLS Compliance and Disclosure

Disclosure Requirements

When using AI-staged photos in MLS listings or marketing materials, you MUST:

• Use the version with the disclosure watermark (automatically included)
• Clearly indicate that furniture and decor are digitally added
• Comply with local MLS rules and NAR Code of Ethics Standard of Practice 12-5
• Not misrepresent the property's actual condition

Important: Failure to properly disclose virtual staging may violate MLS rules, state real estate laws, and NAR ethics standards. You are solely responsible for compliance.

7. Prohibited Uses

You may NOT:

• Upload photos you don't have permission to use
• Use staged images to misrepresent property conditions
• Reverse-engineer, copy, or replicate our AI models
• Resell or redistribute staged images to third parties
• Use the platform for non-real estate purposes (e.g., personal home decorating)
• Attempt to hack, breach, or compromise platform security
• Upload inappropriate, offensive, or illegal content
• Abuse free credits or create multiple accounts to circumvent credit limits

8. Pricing and Payments

Plans and Credits

• Free plan: 3 credits (one-time, no expiration)
• Paid plans: Monthly subscription with credit allotment
• Credits do not roll over month-to-month (use or lose)
• Pricing is subject to change with 30 days notice

Billing

• Payments are processed through Stripe (we do not store card details)
• Subscriptions auto-renew monthly unless canceled
• You may cancel anytime; cancellation takes effect at end of billing period
• No refunds for unused credits or partial months

9. Cancellation and Refunds

Cancellation

• You can cancel your subscription anytime from your account dashboard
• Cancellation takes effect at the end of the current billing cycle
• You retain access to your account and credits until the period ends
• Unused credits are forfeited upon cancellation

Refund Policy

• No refunds for unused credits or partial subscription periods
• Exceptions: Technical issues preventing service use (documented and reported within 7 days)
• Refund requests must be submitted to support@listingstageai.com with explanation

10. Intellectual Property

Our IP

ListingStageAI owns all intellectual property rights to:

• The platform, website, and software
• AI models, algorithms, and training data
• Branding, logos, and trademarks

Your IP

You retain all rights to your uploaded photos and generated staged images. We do not claim ownership.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ListingStageAI is provided "AS IS" without warranties of any kind
• We are not liable for lost sales, reduced property value, or buyer dissatisfaction
• We are not responsible for MLS violations or legal issues arising from your use of staged photos
• Our total liability to you is limited to the amount you paid in the past 12 months
• We are not liable for third-party service failures (Stripe, Clerk, Convex, etc.)

12. Indemnification

You agree to indemnify and hold ListingStageAI harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any laws or regulations
• Copyright infringement (uploading photos you don't own)
• MLS violations due to improper disclosure
• Misrepresentation of property conditions

13. Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Fail to pay for services
• Upload inappropriate content

Upon termination, you lose access to your account and all credits. Downloaded photos remain yours.

14. Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Arbitration

Any disputes will be resolved through binding arbitration in Delaware, except for intellectual property claims. You waive the right to a jury trial and class actions.

15. Changes to Terms

We may update these Terms periodically. Material changes will be communicated via email. Continued use after changes constitutes acceptance.
